These Terms of Use (the “Terms”) govern your access to and use of banksonar.com (the “Site”), operated by BankSonar (“BankSonar”, “we”, “us”, or “our”). Please read them carefully. They form a binding agreement between you and BankSonar.

Acceptance of terms

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree with any part of these Terms, you must not access or use the Site. You represent that you are at least 16 years old and have the legal capacity to enter into this agreement.

Description of the service

BankSonaris an informational directory of US banks built on public data published by the Federal Deposit Insurance Corporation (“FDIC”). The Site presents institutional data, summaries, and a proprietary signal called the “Sonar Score.” The Sonar Score is computed by a fixed formula from public FDIC data, as described in our methodology, and is informational only. It is not a credit rating, an endorsement, a recommendation, or a guarantee of any institution’s safety or solvency. Please review our disclaimer for important limitations on the information presented.

We may modify, suspend, or discontinue any part of the Site at any time without notice. The data we display originates from third-party public sources and may be incomplete, delayed, or inaccurate; we do not warrant that it is current or error-free.

No financial or professional advice; no fiduciary relationship

The Site is provided for general informational and educational purposes only and does not constitute financial, investment, banking, tax, legal, or other professional advice. Nothing on the Site should be construed as a recommendation to use, or refrain from using, any bank or financial product. You should consult qualified professionals before making any financial decision.

Your use of the Site does not create any fiduciary, advisory, or other special relationship between you and BankSonar. We are not your bank, broker, adviser, or agent, and we are not affiliated with the FDIC, the NCUA, or any government agency or depository institution. Any reliance you place on the Site is strictly at your own risk.

Acceptable use & prohibited conduct

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree that you will not:

• scrape, crawl, harvest, or use automated means to access, extract, or copy data from the Site except as expressly permitted in writing;
• place an unreasonable load on our infrastructure, or attempt to interfere with, disrupt, or circumvent the operation or security of the Site;
• attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems or networks;
• use the Site to transmit malware, conduct denial-of-service attacks, or engage in any fraudulent, deceptive, or unlawful activity;
• reproduce, distribute, or create derivative works from the Site or its content except as permitted under these Terms or by applicable law; or
• remove, obscure, or alter any copyright, trademark, advertising label, or other proprietary notice.

Accounts

The Site does not currently require you to register an account. If we offer account features in the future, you will be responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account, and additional terms may apply. You agree to provide accurate information and to notify us promptly of any unauthorized use.

Intellectual property

The Site, including its design, text, graphics, the BankSonar name and logo, the Sonar Score methodology and presentation, and all software and compilations, is owned by or licensed to BankSonar and is protected by copyright, trademark, and other intellectual-property laws. The underlying FDIC data is in the public domain, but our selection, arrangement, presentation, and analysis of that data are proprietary. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use. All rights not expressly granted are reserved.

Third-party links & affiliate relationships

The Site contains links to third-party websites and displays third-party advertising and affiliate offers. We do not control and are not responsible for the content, products, services, or practices of any third party. Some links are affiliate links, meaning we may earn a commission if you act on them — at no additional cost to you. These relationships never influence the Sonar Score or a bank’s ranking. For details, see our affiliate & advertising disclosure. Your dealings with any third party are solely between you and that third party.

DISCLAIMER OF WARRANTIES

THE SITE AND ALL CONTENT, DATA, AND SERVICES PROVIDED ON OR THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, BankSonar DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR ITS DATA ARE ACCURATE, COMPLETE, RELIABLE, OR CURRENT. ANY RELIANCE ON THE SITE IS AT YOUR OWN RISK.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BankSonar, BankSonar, OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless BankSonar, BankSonar, and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any rights of a third party.

Governing law

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any dispute not subject to arbitration or small-claims resolution will be the courts located in that jurisdiction, and you consent to their personal jurisdiction.

Changes to these terms

We may revise these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Site after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Site.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

Entire agreement

These Terms, together with our Privacy Policy, disclaimer, and affiliate & advertising disclosure, constitute the entire agreement between you and BankSonar regarding the Site and supersede any prior agreements or understandings. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.
